Advertiser Agreement

Huntersearch is willing to provide a service for a fee, in which the advertiser’s advertisement (‘advertisement’) is displayed on Huntersearch’s web-site (‘Service’). The advertiser is willing to accept the terms and conditions of this Service.
Huntersearch has only one obligation under the Terms and Conditions of this Agreement – that is to display the advertisement from the advertiser to mutually agreed specifications.
Huntersearch reserves the right to place the advertisement in any order and will promote and display the advertisement (except as expressly provided) for the period of this agreement subject to the Terms and Conditions of this Agreement being met.
Huntersearch reserves the right to require technical specifications to be complied with by the Advertiser.
The Advertiser is exclusively responsible for providing the Advertisement unless stated otherwise.

Both Parties agree that:
1. The content of the advertisement must comply with laws, codes and regulations that may be applicable to its display and content and must not defame any other person, breach any copyright, or other right.
2. The advertiser accepts that Huntersearch has the exclusive right to accept any other advertisements from other parties that may be of a competitive nature
3. Huntersearch agrees to notify the Advertiser about any complaints concerns or actions about which Huntersearch is notified that relate to the Advertisement.
4. Huntersearch will not change the content or specifications of the Advertisement without the consent of the Advertiser in writing unless stated otherwise.
5. Huntersearch reserves the right to discontinue the advertisement without notice if the agreed amount is not paid as cleared funds to Huntersearch within seven days of the agreed date of payment. Huntersearch will provide the Advertiser with a Tax Invoice for the total cost of Services as agreed in this Agreement according to the manner of payments agreed to.
6. Both Parties acknowledge that fees for services paid to Huntersearch are not under any conditions refundable (except as may be required by Statute).
7. This agreement is between the Parties exclusively and shall not be transferred to any third party without the mutual consent in writing by the Parties.
8. The Advertiser indemnifies Huntersearch, its employee, agents or representatives from and against any claims, actions, losses, damages and costs including legal fees that may be incurred through the provision of Services. Huntersearch’s liability in any event shall no exceed the Advertiser’s cost for provision of Services.
9. In the event of a dispute between the Parties in relation to this Agreement, both Parties must attempt to settle the dispute by direct negotiation and if necessary, by mediation, before legal proceedings can be commenced by either Party.
10. If any part of this Agreement is unenforceable, such unenforceability shall not affect the enforceability of the remainder of the Agreement.
11. This Agreement cannot be varied unless agreed to by The Parties in writing.
12. This Agreement constitutes the entire understanding of the Parties in relation to provision of Services by Huntersearch and prevails over any representations whether oral or in writing made prior to the date of this Agreement.
13. This Agreement is governed by and is to be construed in accordance with the laws for the time being in force in the State of New South Wales, and the Parties irrevocably submit to the exclusive jurisdiction of the courts of the State of New South Wales.

By accepting this Agreement, the Parties bind themselves to this Agreement
